01Acceptance of these terms

These Terms & Conditions ("Terms") are a binding agreement between you and Specimira, a brand of The Nelson M Group LLC ("Specimira," "we," "us"). They govern your use of specimira.com and related services, including email and text-message programs (the "Services"). By using the Services or submitting a form, you agree to these Terms, our Privacy Policy, and, if you opt in to texts, our SMS Terms. Anyone who does not agree to these Terms must stop using the Services.

02What Specimira is, and is not

Specimira is an information service. We publish general, plain-language information about how clinical research works, how to read a study listing, what informed consent means, and which questions to ask a study team, and let visitors opt in to related updates. We will not give medical advice, diagnosis, or treatment, do not run, recruit for, or enroll people in clinical studies, and do not match or refer people to studies or research sites, and we do not share your details with study sponsors, research sites, recruiters, pharmaceutical or device companies, lead-generation companies, or any other third-party partners.

• Decisions about your health and about taking part in any research are yours. Reading our content does not obligate you to do anything.
• Your doctor and the study team, not Specimira, decide whether a study is right for you and explain its risks, procedures, and conditions.
• Every study is different. We never guarantee that any study is safe, suitable, or open to you, or that you will qualify for or benefit from any research.

03Eligibility

The Services are open to people who are at least 18, are located in the United States, and can legally enter a binding contract. Please submit details only about yourself, or about another person who has authorized you to share them.

04Your information and accuracy

You are responsible for supplying accurate, current information and for updating it when it changes. Only a mobile number you own or are authorized to use may be provided. If your number changes or is reassigned, please reply STOP from the old number or contact us so that we do not message someone else.

05Communications and text-message consent

If you choose to opt in, you consent to being contacted by email and, if you tick the boxes that apply, by automated text messages as set out in the SMS Terms. Consent to texts is optional, is not a condition of purchase or of using the Services, and may be withdrawn at any time by replying STOP. Message frequency varies. Message and data rates may apply. 06Text messaging: rates, frequency, STOP and HELP

Message and data rates may apply. Message frequency may vary (up to about 8 messages a month, depending on the topics you choose). Text START to join, or opt in with the form on our Get Started or text updates page. Consent is not a condition of purchase or of using the Services.

• STOP: Reply STOP to any message to opt out (STOPALL, UNSUBSCRIBE, CANCEL, END and QUIT also work). You will get one confirmation text and then no more messages.
• HELP: Reply HELP to any message for help, or contact us by email at [email protected] or by phone at 877-551-1238.

Mobile information and opt-in data are not sold or shared with third parties or affiliates for marketing or promotional purposes. See the Privacy Policy and SMS Terms.

07Acceptable use

You must not: (a) enter false or misleading details, or another person's details; (b) use the Services for anything unlawful, fraudulent, or abusive; (c) interfere with the Services or try to gain access you are not allowed; (d) submit forms with bots or other automated tools; (e) copy, scrape, or resell our content without our permission; or (f) pretend to be someone else. We may suspend or end your access if you do any of these.

08Third-party organizations and links

Organizations, programs, and products mentioned on or linked from the Services (say government agencies, hospitals, or patient organizations) are operated by third parties. We never endorse any product, plan, or provider, and we are not responsible for what those third parties do, publish, or deliver. Your relationship with any doctor or study team is between you and them.

09Intellectual property

The Services, among them the Specimira name, logo, text, graphics, and design, are the property of us or our licensors, protected under intellectual property laws. We license you, on a limited, revocable, non-exclusive, non-transferable basis, to view and use the Services for personal and non-commercial reasons only. Each photograph on the Site is used under its free-use license.

10Disclaimers

No warranties of any kind, express or implied, apply to the services or content, which are supplied "as is" and "as available." This includes implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We also do not warrant that the services will be uninterrupted, error-free, or secure, or that any message will be delivered on time or at all.

Specimira does not offer financial, legal, or tax advice, and makes no representation about any medical outcome, study result, or eligibility.

11Limitation of liability

As far as the law allows, Specimira and The Nelson M Group LLC, and their members, managers, officers, employees, and agents, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, or goodwill, arising from or related to your use of (or inability to use) the services, or from any health or research decision you make or do not make. Our total liability for any claim relating to the services will not exceed one hundred U.S. dollars ($100).

In jurisdictions that do not allow certain limitations, those limitations may not apply to you. These Terms never limit liability that the law says cannot be limited.

12Indemnification

You agree to defend and hold harmless The Nelson M Group LLC, its affiliates, and its personnel against claims, damages, and expenses (including reasonable attorneys' fees) that arise from your breach of these Terms, your misuse of the Services, or your supplying a phone number or other information you had no authority to supply.

13Disputes, governing law, and arbitration

Informal resolution first. Please contact us at [email protected] giving us 30 days to try to work it out.

Binding arbitration. Disputes between you and Specimira or The Nelson M Group LLC that arise out of or relate to these Terms or the Services (other than small-claims matters and injunctive-relief claims for intellectual-property misuse) will go to final and binding individual arbitration with the American Arbitration Association under its Consumer Arbitration Rules. The venue is your county of residence, or video or phone if you prefer. The arbitrator may give the same individual relief a court could, and a court of competent jurisdiction may enter judgment.

Class-action waiver. Where the law allows, you and Specimira each agree that claims will be brought only individually, and not as a plaintiff or class member in a class, collective, or representative action.

Opt-out. Arbitration is optional if, within 30 days of first accepting these Terms, you email [email protected] with the subject "Arbitration Opt-Out" and your name and mobile number.

Governing law. These Terms are governed by the laws of the state in which The Nelson M Group LLC has its principal place of business, without regard to conflict-of-law rules, and the Federal Arbitration Act. Subject to the arbitration clause, the state and federal courts located in that state have exclusive jurisdiction.

14Termination

You may stop using the Services at any time, and may opt out of messages by replying STOP. Violations of these Terms, among other things, may lead us to suspend or terminate access at our discretion. Sections which by their nature should survive termination (including disclaimers, limitation of liability, indemnification, and disputes) will.

15Changes

Updates to these Terms will be posted with a new "Last updated" date. Using the Services after the effective date means accepting the updated Terms. If a change is material, we will notify you as mandated by law.

16General

Together with the Privacy Policy and SMS Terms, these Terms are our entire agreement with you on this subject. If a part is held unenforceable, the remainder stays in effect. Not enforcing a provision does not waive it. You cannot assign these Terms without our consent, but we may assign them as part of a merger or sale of the business.
